    This User Agreement describes the terms and conditions that apply when you access or use services offered by Jaws Elite, a sports consulting firm. By purchasing, registering for, accessing, or using any Jaws Elite services, you agree to this User Agreement.

    This template is provided for business drafting purposes and should be reviewed by a qualified attorney before use.

    Parties

    This User Agreement is entered into between Jaws Elite, referred to as “Jaws Elite,” “we,” “us,” or “our,” and the individual, parent, legal guardian, athlete, organization, team, coach, or other customer using our services, referred to as “you,” “your,” or “User.”

    If you are accepting this Agreement on behalf of a minor athlete, team, organization, or another person, you represent that you have authority to do so and that the person or entity you represent will comply with this Agreement.

    Services

    Jaws Elite provides sports consulting services that may include, without limitation:

    • Athlete development consulting
    • Recruiting guidance
    • Exposure and visibility strategy
    • Camp, showcase, academy, or program recommendations
    • Performance, training, or development planning
    • Sports business consulting
    • Team, coach, or organization advisory services
    • Digital, marketing, branding, or profile-building support
    • Other related sports consulting services agreed to in writing

    The specific services, deliverables, timelines, and fees may be described in a separate proposal, invoice, order form, service package, written statement of work, or other written communication. If there is a conflict between this Agreement and a signed written service order, the signed service order will control only for that specific engagement.

    Eligibility and Minor Participants

    You must be at least 18 years old to purchase or enter into services with Jaws Elite. If services involve a minor athlete, a parent or legal guardian must review and accept this Agreement on behalf of the minor.

    Parents and guardians are responsible for determining whether Jaws Elite services are appropriate for the minor athlete. Jaws Elite may communicate with parents, guardians, athletes, coaches, schools, clubs, or other sports-related contacts as reasonably necessary to provide the requested services.

    No Guaranteed Results

    You understand and agree that Jaws Elite does not guarantee any specific athletic, recruiting, academic, financial, professional, or business outcome. This includes, without limitation, no guarantee of:

    • College recruitment
    • Scholarship offers
    • Team placement
    • Roster selection
    • Playing time
    • NIL opportunities
    • Professional opportunities
    • Athletic performance improvement
    • Rankings, exposure, media coverage, or visibility
    • Admission to any school, camp, showcase, team, league, academy, or program
    • Business revenue, sponsorships, partnerships, or other commercial results

    Sports outcomes depend on many factors outside of Jaws Elite’s control, including athlete performance, coach decisions, academic eligibility, injuries, market conditions, team needs, competition level, compliance rules, family participation, and third-party decisions.

    User Responsibilities

    You agree to provide accurate, complete, and current information requested by Jaws Elite. This may include athlete information, academic information, sports history, statistics, film, photos, contact information, schedules, goals, preferences, and other relevant materials.

    You are responsible for:

    • Reviewing all recommendations before acting on them
    • Making final decisions about participation in any program, camp, showcase, league, team, school, or opportunity
    • Complying with all school, league, association, recruiting, eligibility, NIL, amateurism, transfer, and governing body rules
    • Obtaining any required permissions from parents, guardians, coaches, schools, teams, or organizations
    • Maintaining accurate contact information and responding in a timely manner
    • Paying all fees and third-party costs when due

    Jaws Elite is not responsible for missed opportunities, delayed results, incomplete services, or reduced effectiveness caused by inaccurate information, delayed responses, nonpayment, lack of participation, or failure to follow reasonable instructions.

    Payments and Fees

    Fees for Jaws Elite services will be stated in the applicable invoice, checkout page, proposal, package description, or written service order. Unless otherwise stated in writing, all fees are due before services begin.

    You agree to pay all fees, taxes, processing charges, and other amounts associated with the services you purchase. If payment is late, declined, reversed, disputed, or charged back, Jaws Elite may suspend or terminate services until the account is brought current.

    All third-party costs, including camp fees, showcase fees, travel expenses, software subscriptions, video production, advertising costs, application fees, tournament fees, or other outside expenses, are your responsibility unless expressly included in a written service order.

    Refunds, Cancellations, and Rescheduling

    Refunds, cancellations, and rescheduling rights depend on the service package purchased and any written terms provided at the time of purchase. Unless otherwise stated in writing, fees paid to Jaws Elite are non-refundable once work has begun.

    If you need to cancel or reschedule a consultation, meeting, review session, or other scheduled service, you must provide at least [Insert Notice Period, e.g., 24 or 48 hours] advance notice. Missed meetings, late cancellations, or no-shows may be forfeited or subject to additional fees.

    Jaws Elite may reschedule services due to availability, staffing, emergencies, scheduling conflicts, or events outside our reasonable control. If Jaws Elite cancels a paid service and does not provide a reasonable substitute, credit, or rescheduled date, we will provide an appropriate refund for the unused portion of that specific service.

    Communications

    You agree that Jaws Elite may contact you by email, phone, text message, video call, direct message, customer portal, or other communication method you provide. You are responsible for ensuring that your contact information is accurate and that you monitor communications related to your services.

    By providing a phone number, you consent to receive service-related calls and text messages from Jaws Elite. Message and data rates may apply. You may opt out of marketing messages at any time, but transactional or service-related communications may still be necessary to provide services.

    Athlete Health, Safety, and Medical Disclaimer

    Jaws Elite is not a medical provider and does not provide medical, physical therapy, nutritional, psychological, or emergency health advice. Any training, performance, recovery, wellness, or development-related information is for general educational and consulting purposes only.

    You are responsible for consulting qualified medical professionals before beginning or changing any training, conditioning, nutrition, recovery, or sports participation plan. You acknowledge that sports participation involves risk of injury, illness, property damage, and other harm.

    To the fullest extent permitted by law, you voluntarily assume all risks associated with athletic participation, training, competition, travel, camps, showcases, programs, and other sports-related activities.

    Recruiting, Eligibility, and Compliance

    Jaws Elite may provide general recruiting, exposure, positioning, or opportunity-related guidance. However, Jaws Elite is not responsible for determining your eligibility under any school, league, conference, state association, NCAA, NAIA, NJCAA, NIL, amateurism, transfer, or other governing body rules.

    You are solely responsible for confirming compliance with applicable rules before taking action. Jaws Elite does not promise, arrange, purchase, or guarantee recruiting outcomes, scholarships, admissions decisions, roster spots, benefits, or preferential treatment.

    User Content and Materials

    You may provide Jaws Elite with videos, photographs, statistics, logos, names, likenesses, biographies, school information, team information, testimonials, written content, social media handles, or other materials, referred to as “User Content.”

    You represent and warrant that you own or have the necessary rights and permissions to provide User Content to Jaws Elite and to allow Jaws Elite to use it for the services. You grant Jaws Elite a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, edit, display, distribute, and create derivative works from User Content solely as reasonably necessary to provide the services, communicate with you, prepare deliverables, or promote completed work as permitted by this Agreement.

    You are responsible for ensuring that User Content is accurate, lawful, non-infringing, and does not violate any privacy, publicity, school, league, team, or third-party rights.

    Marketing, Testimonials, Name, Image, and Likeness

    Unless you opt out in writing, you authorize Jaws Elite to reference your name, organization name, team name, general engagement, testimonials, public achievements, and publicly available sports-related information for marketing, case study, portfolio, or promotional purposes.

    For minor athletes, Jaws Elite will seek parent or guardian permission before using identifiable testimonials, photos, videos, or promotional content that is not otherwise publicly available.

    You may withdraw future marketing consent by contacting Jaws Elite in writing. Withdrawal will not require Jaws Elite to remove materials already printed, published, distributed, or reasonably in production before the withdrawal request was received, unless required by law.

    Intellectual Property

    Jaws Elite retains all rights, title, and interest in its pre-existing materials, methods, frameworks, templates, processes, strategies, training materials, written resources, business materials, designs, software, know-how, and other intellectual property.

    Subject to full payment, Jaws Elite grants you a limited, non-exclusive, non-transferable license to use final deliverables prepared specifically for you for your personal, athletic, team, organizational, or internal business purposes. You may not resell, publish, distribute, copy, sublicense, or commercially exploit Jaws Elite materials unless expressly permitted in writing.

    You retain ownership of your User Content, subject to the license granted to Jaws Elite in this Agreement.

    Confidentiality

    During the services, either party may share non-public information that is marked confidential or would reasonably be understood to be confidential. Each party agrees to use confidential information only for purposes of the services and to take reasonable steps to protect it from unauthorized disclosure.

    Confidential information does not include information that is publicly available, already known without restriction, independently developed, received from a third party without breach of duty, or required to be disclosed by law.

    Privacy

    Jaws Elite may collect and process personal information as necessary to provide services, manage accounts, process payments, communicate with users, and operate the business. Personal information may include contact information, athlete information, family information, sports history, academic information, payment information, communication records, and other information you provide.

    Jaws Elite will use reasonable administrative, technical, and organizational safeguards to protect personal information. However, no system is completely secure, and you acknowledge that online communications and digital storage involve inherent risks.

    If Jaws Elite maintains a separate Privacy Policy, that policy is incorporated into this Agreement by reference.

    Third-Party Services and Opportunities

    Jaws Elite may recommend, reference, link to, or coordinate with third-party services, platforms, schools, clubs, teams, camps, showcases, leagues, trainers, vendors, consultants, software providers, payment processors, or other outside parties.

    Jaws Elite does not control third parties and is not responsible for their actions, omissions, fees, decisions, policies, availability, quality, safety, outcomes, or terms. Your use of third-party services is at your own risk and may be subject to separate terms and conditions.

    Prohibited Conduct

    You agree not to:

    • Provide false, misleading, or incomplete information
    • Misrepresent athletic, academic, recruiting, business, or personal credentials
    • Use Jaws Elite services for unlawful, deceptive, harassing, abusive, discriminatory, or unethical purposes
    • Violate school, league, governing body, recruiting, NIL, amateurism, eligibility, or transfer rules
    • Copy, resell, distribute, or misuse Jaws Elite materials
    • Interfere with Jaws Elite’s business, systems, staff, users, partners, or services
    • Upload or transmit malicious code, harmful files, or unauthorized materials
    • Infringe the rights of Jaws Elite or any third party

    Jaws Elite may suspend or terminate services if we reasonably believe you violated this Agreement or engaged in conduct that may harm Jaws Elite, another user, an athlete, a partner, or a third party.

    Service Changes and Availability

    Jaws Elite may modify, update, pause, discontinue, or replace services, packages, features, content, or offerings at any time. We will make reasonable efforts to fulfill paid services already purchased, but we may substitute substantially similar services when necessary.

    Jaws Elite is not liable for delays or failures caused by events outside our reasonable control, including illness, emergencies, weather, natural disasters, labor issues, technology failures, platform outages, payment processor issues, third-party delays, government actions, or other force majeure events.

    Disclaimer of Warranties

    To the fullest extent permitted by law, Jaws Elite services are provided on an “as is” and “as available” basis. Jaws Elite disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

    Jaws Elite does not warrant that services will be uninterrupted, error-free, secure, or achieve any particular result.

    Limitation of Liability

    To the fullest extent permitted by law, Jaws Elite will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost opportunities, lost scholarships, lost roster spots, lost business, loss of data, reputational harm, or emotional distress, even if Jaws Elite has been advised of the possibility of such damages.

    To the fullest extent permitted by law, Jaws Elite’s total liability for any claim arising out of or relating to the services or this Agreement will not exceed the amount you paid to Jaws Elite for the specific service giving rise to the claim during the three months before the event giving rise to liability.

    Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

    Indemnification

    You agree to defend, indemnify, and hold harmless Jaws Elite and its owners, officers, employees, contractors, agents, partners, affiliates, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

    • Your breach of this Agreement
    • Your User Content
    • Your violation of law or third-party rights
    • Your violation of school, league, association, recruiting, NIL, amateurism, eligibility, or governing body rules
    • Your participation in sports, training, camps, showcases, travel, competitions, or third-party opportunities
    • Your decisions or actions taken based on Jaws Elite recommendations
    • Your negligence, misconduct, fraud, or misrepresentation

    Termination

    Jaws Elite may suspend or terminate your access to services if you violate this Agreement, fail to pay amounts due, misuse services, act abusively toward staff or partners, provide false information, or create legal, safety, reputational, operational, or business risk.

    You may stop using Jaws Elite services at any time. Termination does not relieve you of payment obligations incurred before termination. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

    Governing Law and Venue

    This Agreement will be governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement or the services will be brought exclusively in the state or federal courts located in [Insert County], Florida, unless the parties agree in writing to another dispute resolution process.

    Each party consents to the personal jurisdiction and venue of those courts.

    Dispute Resolution

    Before filing a lawsuit, the parties agree to first attempt to resolve any dispute informally by providing written notice describing the issue and allowing at least 30 days for good-faith discussion.

    Either party may seek injunctive or equitable relief at any time to protect intellectual property, confidential information, privacy rights, or to prevent misuse of services.

    Updates to this Agreement

    Jaws Elite may update this Agreement from time to time. The updated version will be effective when posted, provided, or otherwise made available, unless a later effective date is stated. Your continued use of services after an update means you accept the updated Agreement.

    For material changes affecting paid services already purchased, Jaws Elite will make reasonable efforts to provide notice before the changes take effect.

    General Terms

    This Agreement, together with any applicable written service order, invoice, proposal, privacy policy, or package terms, forms the entire agreement between you and Jaws Elite regarding the services. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign this Agreement without Jaws Elite’s written consent. Jaws Elite may assign this Agreement as part of a merger, acquisition, sale of assets, reorganization, or business transfer.

    No waiver of any term will be effective unless in writing. Headings are for convenience only and do not affect interpretation.
